1. Acceptance of Terms

By registering for and using the Mallvest platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

We reserve the right to update or modify these terms at any time without prior notice. Your continued use of the platform after any changes constitutes acceptance of the new terms.

2. User Eligibility

To use Mallvest, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction.
• Have the legal capacity to enter into binding agreements.
• Provide accurate and complete information during registration.
• Not be located in or a resident of any country subject to international sanctions.

We reserve the right to refuse service or terminate accounts at our sole discretion.

3. Account Registration

When you create an account with Mallvest, you agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your account credentials (username, password, 2FA).
• Notify us immediately of any unauthorized access or security breach.
• Take responsibility for all activities that occur under your account.

You are solely responsible for safeguarding your account. Mallvest will not be liable for any losses arising from unauthorized use of your account.

4. Cashew Investment Process

Mallvest facilitates cashew export investments where you fund verified batches and earn profit-share. By participating, you agree to:

• Fund only using legitimate funds that you own.
• Acknowledge that your investment is subject to principal protection as outlined in our Refund Policy.
• Understand that profit-share is based on the successful export performance of cashew batches.
• Accept that all investments carry inherent agricultural and market risks.
• Agree that Mallvest handles all export logistics including sourcing, quality control, shipping, and buyer negotiations.

5. Fees & Payments

• Investment Amount: You agree to pay the full investment amount at the time of confirming your cashew batch funding.
• Fees: Any transaction, gateway, or processing fees are non-refundable.
• Profit-Share: Your returns are calculated as a transparent percentage of the batch's export profit, as disclosed at the time of investment.
• Payouts: Your investment plus profit-share is credited to your Mallvest wallet within 1 hour of the export sale closing.

6. User Conduct

You agree not to:

• Engage in any fraudulent or illegal activities.
• Manipulate or interfere with the platform's normal operations.
• Post false, misleading, or inaccurate information about cashew batches or investments.
• Attempt to circumvent or bypass any security measures.
• Use the platform for any purpose other than its intended use.
• Attempt to contact farmers or exporters directly or interfere with Mallvest's export management.

7. Risk Disclosure

By using Mallvest, you acknowledge that:

• You are solely responsible for your investment decisions.
• Cashew batch performance is influenced by market conditions, crop yields, and global demand.
• Profit-share is variable and depends on actual export sales, not guaranteed returns.

8. Export Logistics Management

Mallvest manages all export logistics on behalf of investors, including:

• Sourcing premium cashew from vetted West African farms.
• Quality control and grading according to international standards.
• Packaging and shipping coordination.
• Customs clearance and export documentation.
• Buyer negotiations and global sales.

You agree not to interfere with or bypass Mallvest's export management. All export-related matters must be handled exclusively through Mallvest.

9. Intellectual Property

All content on Mallvest – including text, graphics, logos, batch listings, and software – is the property of Mallvest and protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, or create derivative works without our explicit written consent.

10. Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms of Service.

• By You: You may close your account at any time by contacting support.
• By Us: We may terminate accounts for fraud, abuse, policy violations, or interference with export management.

Upon termination, you will receive any funds owed to you (subject to our Refund Policy).

11. Limitation of Liability

Mallvest is provided "as is" without warranties of any kind. We do not guarantee:

• Uninterrupted or error-free service.
• That your cashew investments will generate profit-share.
• That the platform will meet your specific requirements.

To the fullest extent permitted by law, Mallvest shall not be liable for any indirect, incidental, or consequential damages arising from your use of the platform or your cashew investments.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction where Mallvest is incorporated, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of these terms shall be brought exclusively in the courts of that jurisdiction.
